1. About these terms

These Terms of Service ("Terms") govern your access to and use of the cresoftech.ca website and any web development, SEO, AI SEO, or related services provided by Cressoft Technology Inc. ("Cressoft," "we," "us," or "our"). By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.

2. Who we are

Cressoft Technology Inc. is an Ontario corporation headquartered in Mississauga, Ontario, Canada. We provide web development, search engine optimization (SEO), AI SEO (generative engine optimization or GEO), and related digital services to small businesses across the Greater Toronto Area and the rest of Canada.

3. Scope of services

Specific deliverables, timelines, and pricing for any project are described in the signed proposal, statement of work, or written agreement between you and Cressoft. The contents of our website (including blog posts, pricing pages, and service descriptions) are for general information only and do not by themselves create a binding service agreement.

We reserve the right to refuse, modify, or discontinue any service at any time at our reasonable discretion, with notice to active clients.

4. Pricing and payment

• Quoted prices: Prices shown on cresoftech.ca are starting prices in Canadian dollars (CAD) and may change for projects with custom scope. Your signed proposal is the binding price for your project.
• Project deposits: Most web development projects require a 50% deposit before work begins, with the remaining 50% due on completion. Larger projects may use a milestone-based payment schedule documented in your proposal.
• Monthly retainers: Local SEO, AI SEO, and website maintenance retainers are billed monthly in advance. All retainers are month-to-month with no long-term contract unless explicitly agreed otherwise in writing.
• Late payment: Invoices are due on receipt unless otherwise stated. Invoices unpaid 30 days past the due date may incur interest at 1.5% per month (19.56% annually) on the outstanding balance.
• Taxes: All prices are exclusive of HST and any other applicable taxes. We collect HST as required by Canadian tax law.

5. Client responsibilities

To deliver the agreed work on time, you agree to:

• Provide accurate and complete information about your business, including required content, brand assets, and any necessary login credentials in a secure manner
• Respond to requests for feedback or approval within reasonable timelines outlined in your proposal
• Ensure you own or have permission to use all content, photos, logos, trademarks, and other materials you provide to us
• Keep your hosting, domain registrar, and any third-party accounts in good standing through their respective billing relationships

6. Intellectual property

• Your content: Any content, materials, or data you provide to us remains your property. You grant us a non-exclusive license to use that material solely for the purpose of delivering the agreed services.
• Final deliverables: Once your project is paid in full, you own the final website code, content, and design files we produced specifically for your project. You may host, modify, or migrate your site freely.
• Our tools and templates: Cressoft retains all rights to our internal frameworks, code libraries, design systems, methodologies, and any pre-existing intellectual property used to deliver your project. You receive a perpetual non-exclusive license to use these as embedded in your delivered site.
• Third-party assets: Stock photos, fonts, plugins, and other third-party assets remain subject to their respective licenses. Where you receive these as part of your project, you are responsible for any ongoing license fees outside our quoted scope.
• Portfolio rights: Cressoft may showcase completed work on our portfolio, in case studies, or in marketing materials, including screenshots and a description of the project. If you prefer not to be featured publicly, please notify us in writing before the project begins.

7. SEO and ranking disclaimers

Search rankings are determined by third parties (Google, Bing, and AI search engines) using algorithms we do not control. Cressoft cannot guarantee specific rankings, traffic levels, or business outcomes from SEO or AI SEO work. We deliver SEO services using current best practices and provide transparent monthly reporting, but search-engine outcomes depend on many factors outside our control, including competitor activity, algorithm changes, and the wider competitive landscape in your niche.

8. Cancellation and refunds

• Fixed-fee projects: Deposits paid before work begins are refundable, less any time and expenses incurred up to the cancellation date. Once work has begun, deposits are non-refundable to the extent work has been delivered.
• Monthly retainers: You may cancel any retainer by giving 30 days written notice via email to info@cresoftech.ca. The retainer continues and is billable through the end of that 30-day notice period.
• By us: We reserve the right to terminate any engagement for non-payment, breach of these Terms, or any other reason at our reasonable discretion. If we terminate without cause, we will refund any unearned portion of fees you have paid in advance.

9. Confidentiality

We treat all non-public business information you share with us as confidential and only use it to deliver the agreed services. Likewise, you agree to treat our pricing, proposals, internal documentation, and any non-public information about our methods as confidential. These obligations survive termination of any engagement.

10. Limitation of liability

To the maximum extent permitted by law, Cressoft, its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from or related to the services. Our total aggregate liability to you for any claim arising from or related to the services shall not exceed the total fees you paid to Cressoft in the 12 months preceding the event giving rise to the claim. This limitation does not apply to damages caused by Cressoft's gross negligence or willful misconduct.

11. Warranties and disclaimers

We deliver our services with reasonable skill, care, and diligence. Beyond this, our website and services are provided "as is" and "as available" without any other warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except to the extent these cannot be excluded by law.

12. Third-party services

Your project may involve third-party services such as hosting providers (e.g. Vercel), domain registrars, payment processors, email services (e.g. Resend), analytics (e.g. Google Analytics), Convex, or others. Use of these third-party services is governed by their own terms. Cressoft is not responsible for any third-party service interruptions, data loss, or policy changes outside our control.

13. Indemnification

You agree to indemnify and hold Cressoft harmless from any claim, loss, or damage arising from (a) content or materials you provided to us; (b) your use of the delivered website or services in ways we did not advise or recommend; or (c) your violation of any law, regulation, or third-party right.

14. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. You agree that any dispute arising from these Terms or our services will be resolved exclusively in the courts of Ontario, Canada.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of cresoftech.ca or our services after a change indicates your acceptance of the updated Terms.
